## 1. Introduction and Acceptance
These Terms and Conditions ("Terms") govern your access to and use of the Zimozi Swift platform ("Platform"), including the website at **zimoziswift.com**, related mobile applications, and all associated services.
By registering an account, placing an order, or otherwise using the Platform, you agree to be bound by these Terms and our [Privacy Policy](privacy.md). If you do not agree, you must not use the Platform.
Zimozi Swift reserves the right to update these Terms at any time. Continued use of the Platform after updates are published constitutes acceptance of the revised Terms.

## 2. Definitions

| **LiveFirst** | A buy-now-pay-later credit feature offered on the Platform |

## 3. Eligibility
To use the Platform, you must:
- Be at least **18 years of age**.
- Be legally capable of entering into binding contracts under Nigerian law.
- Provide accurate, complete, and current registration information.
- Not be prohibited from using the Platform under applicable law.
By creating an account, you represent and warrant that you meet these requirements.

## 4. Account Registration and Security
### 4.1 Registration
You must register an account to place orders, list products, or access certain features. You agree to provide truthful and up-to-date information during registration and to update your information promptly if it changes.
### 4.2 Account Security
You are responsible for maintaining the confidentiality of your login credentials. You agree to:
- Choose a strong, unique password.
- Not share your credentials with any third party.
- Notify us immediately at **support@zimoziswift.com** if you suspect unauthorised access to your account.
We are not liable for losses resulting from unauthorised account access caused by your failure to secure your credentials.
### 4.3 One Account per User
Each individual or business entity may maintain only one active account per user type (customer, vendor, agent). Duplicate accounts may be suspended without notice.

## 5. Customer Terms
### 5.1 Placing Orders
When you place an order, you make an offer to purchase the selected product(s) at the listed price. An order is confirmed when you receive an order confirmation email or in-app notification.
### 5.2 Pricing
All prices are displayed in **Nigerian Naira (₦)**. Prices are set by vendors and may change at any time. The price at the time of order confirmation is binding for that transaction.
### 5.3 Payment
Payments are processed through **Paystack**. By initiating payment, you authorise us to charge the specified amount to your selected payment method. We do not store your card details.
Supported payment methods include debit/credit cards, bank transfers, and USSD as offered by Paystack.
### 5.4 Order Cancellation
Orders may be cancelled before they are dispatched. Once an order has been dispatched, cancellation is subject to the return and refund policy in Section 8.
### 5.5 Delivery
Delivery is arranged through our integrated logistics system. Estimated delivery timelines are indicative only and may vary based on your location, product availability, and logistics capacity. We are not liable for delays caused by third-party logistics partners or circumstances beyond our control.
### 5.6 Delivery Addresses
You are responsible for providing accurate and complete delivery addresses. We are not liable for non-delivery resulting from an incorrect address.

## 6. Vendor Terms
### 6.1 Vendor Registration
To sell on the Platform, you must complete vendor registration and provide accurate business information, including KYC documentation where required (see Section 13). Approval of your vendor account is at Zimozi Swift's sole discretion.
### 6.2 Product Listings
Vendors are solely responsible for the accuracy, legality, and quality of their product listings, descriptions, prices, and images. You must not list:
- Counterfeit, stolen, or illegal goods.
- Products prohibited under Nigerian law.
- Goods that infringe third-party intellectual property rights.
- Hazardous substances without appropriate regulatory clearance.
Zimozi Swift reserves the right to remove any listing and suspend any vendor account that violates these requirements.
### 6.3 Order Fulfillment
Vendors are responsible for fulfilling confirmed orders accurately and promptly. Failure to fulfill orders without valid cause may result in account suspension.
### 6.4 Vendor Fees and Payouts
Zimozi Swift charges a platform service fee on each transaction. The applicable fee structure is communicated during onboarding and may be updated with prior notice. Payouts are processed to your registered bank account on the schedule communicated in your vendor dashboard, subject to successful order completion and no outstanding disputes.
### 6.5 Vendor Conduct
Vendors must not engage in price manipulation, mislead customers, circumvent Platform payment systems to transact directly with customers acquired through the Platform, or engage in any conduct that damages the reputation of Zimozi Swift.

## 7. Agent and Affiliate Terms
### 7.1 Agent Registration
Agents are individuals or entities who refer customers or vendors to the Platform in exchange for a commission. Agent registration requires approval from Zimozi Swift.
### 7.2 Commissions
Commissions are calculated based on verified referral activity as tracked by the Platform. Commission rates are set by Zimozi Swift and may be updated with notice. Commissions are paid to your registered bank account on the agreed schedule.
### 7.3 Prohibited Conduct
Agents must not engage in misleading or deceptive marketing, spam, or any practice that violates applicable advertising or consumer protection laws. Fraudulent referral activity will result in forfeiture of commissions and account termination.

## 8. Returns, Refunds, and Disputes
### 8.1 Eligibility for Returns
A return may be requested within **7 days** of delivery where a product is:
- Significantly not as described in the listing.
- Damaged or defective upon arrival.
- Incorrect (wrong item received).
### 8.2 Return Process
To initiate a return, contact us at **support@zimoziswift.com** with your order number and a description and photographic evidence of the issue. We will coordinate with the vendor to assess the claim.
### 8.3 Refunds
Approved refunds are processed to your original payment method within **7–14 business days** of approval. Refunds will not be issued for:
- Change of mind after delivery.
- Products described accurately and received in the described condition.
- Perishable goods where the return window has passed.
### 8.4 Dispute Resolution
If you have a dispute with a vendor regarding an order, you must first attempt to resolve it through the Platform's dispute mechanism. Zimozi Swift may, at its discretion, mediate disputes between customers and vendors. Zimozi Swift's decision in mediated disputes is final for purposes of payout determinations on the Platform.

## 9. Family Pack Subscription Service
### 9.1 Overview
The Family Pack service allows customers to subscribe to recurring product deliveries on a **6-month or 12-month** payment cycle.
### 9.2 Subscription Activation
Subscriptions are activated upon approval by Zimozi Swift. You will be notified by email when your subscription is approved.
### 9.3 Payments
Subscription fees are charged in advance per the selected payment interval. Payment failures may result in suspension or cancellation of your subscription.
### 9.4 Cancellation
You may request cancellation of your subscription by contacting **support@zimoziswift.com**. Cancellations are effective at the end of the current billing cycle. No refund is issued for the remainder of an active cycle unless the cancellation is due to a Platform error.
### 9.5 Modifications
Zimozi Swift reserves the right to modify the products, pricing, or delivery schedule for Family Pack subscriptions with **14 days' notice**. If a modification is materially adverse to you, you may cancel your subscription without penalty within that notice period.

## 10. Shop4me Personal Shopping Service
### 10.1 Overview
Shop4me allows customers to submit requests for items they wish to have sourced on their behalf, subject to a specified budget.
### 10.2 No Guarantee of Fulfillment
Submission of a Shop4me request does not guarantee that the requested item will be sourced or that it will be available within your budget. We will communicate with you if fulfillment is not possible.
### 10.3 Payment
Payment is processed once your request is accepted and items are confirmed. You authorise us to charge up to your specified budget amount.
### 10.4 Returns
Items sourced through Shop4me are subject to the return policy in Section 8, where applicable.

## 11. LiveFirst (Buy-Now-Pay-Later)
### 11.1 Overview
LiveFirst is a credit feature that allows eligible customers to purchase products and pay in instalments.
### 11.2 Eligibility
Access to LiveFirst requires identity verification and credit assessment. Enrolment is subject to approval by Zimozi Swift at its sole discretion.
### 11.3 Repayment
By using LiveFirst, you agree to repay the outstanding balance according to the repayment schedule provided at the time of purchase. Failure to repay may result in suspension of your LiveFirst access and recovery action.
### 11.4 Credit Responsibility
LiveFirst is a financial product. You should only use it if you are confident you can meet repayments. Zimozi Swift is not responsible for financial hardship resulting from your use of LiveFirst.

## 12. State Representative Program
### 12.1 Application
Individuals wishing to serve as state representatives may apply through the public volunteer form. Acceptance is subject to review and approval by Zimozi Swift.
### 12.2 Obligations
Approved state representatives agree to:
- Operate within their assigned region in accordance with Zimozi Swift guidelines.
- Maintain adequate storage and delivery capacity.
- Represent Zimozi Swift professionally and honestly.
### 12.3 Termination
Zimozi Swift may revoke a state representative's appointment at any time with or without cause. Upon termination, all access to Platform tools and branding is immediately revoked.

## 13. KYC and Identity Verification
Certain features (vendor registration, LiveFirst, state representative roles) require identity verification. You agree to:
- Provide genuine, unaltered identity documents.
- Consent to Zimozi Swift verifying your identity using the submitted information.
- Update your KYC documents if they expire or your circumstances change.
Submitting false or forged documentation is a criminal offence under Nigerian law and will result in immediate account termination and potential reporting to the relevant authorities.

## 14. Prohibited Conduct
All users are prohibited from:
- Submitting false, misleading, or fraudulent information.
- Circumventing or attempting to circumvent Platform security measures.
- Using automated bots, scrapers, or similar tools without authorisation.
- Engaging in money laundering, fraud, or any activity in violation of Nigerian law.
- Harassing, threatening, or abusing other users, vendors, or Platform staff.
- Listing or purchasing counterfeit, stolen, or prohibited goods.
- Impersonating another person or entity.
- Using the Platform to conduct transactions outside of the Platform to avoid fees.
Violation of these prohibitions may result in immediate account suspension or termination, forfeiture of balances or commissions, and referral to law enforcement authorities.

## 15. Intellectual Property
All content on the Platform — including logos, brand names, software, text, graphics, and design — is owned by or licensed to Zimozi Swift and is protected under applicable Nigerian and international intellectual property law.
You may not reproduce, distribute, or create derivative works from Platform content without our prior written consent.
**User-generated content** (product images, reviews, descriptions) that you submit to the Platform grants Zimozi Swift a non-exclusive, royalty-free, worldwide licence to use, display, and distribute that content in connection with operating the Platform.

## 16. Disclaimer of Warranties
The Platform is provided on an **"as is" and "as available"** basis. To the fullest extent permitted by applicable law, Zimozi Swift makes no warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
We do not warrant that:
- The Platform will be uninterrupted, error-free, or secure at all times.
- Products sold by vendors will meet your expectations.
- Information on the Platform is always accurate or up to date.

## 17. Limitation of Liability
To the maximum extent permitted by Nigerian law, Zimozi Swift and its officers, directors, employees, and partners shall not be liable for:
- Indirect, incidental, special, or consequential damages.
- Loss of profit, revenue, data, or business opportunities.
- Damages arising from vendor conduct, product defects, or third-party service failures.
Our total aggregate liability to any user for any claim arising out of or relating to these Terms or the Platform shall not exceed the amount paid by that user to Zimozi Swift in the **3 months** preceding the claim.
Nothing in these Terms excludes liability for death or personal injury caused by our negligence, or for fraud or fraudulent misrepresentation.

## 18. Indemnification
You agree to indemnify and hold harmless Zimozi Swift and its affiliates, officers, employees, and agents from any claims, liabilities, damages, costs, and expenses (including reasonable legal fees) arising from:
- Your use of the Platform.
- Your breach of these Terms.
- Your violation of any applicable law or third-party right.
- Any product you list or sell on the Platform (vendors).

## 19. Third-Party Services
The Platform integrates third-party services including Paystack, Termii, Firebase, and our logistics API. Your use of those services is also governed by their respective terms and policies. Zimozi Swift is not responsible for the conduct or failures of third-party service providers.

## 20. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the **Federal Republic of Nigeria**.
Any dispute arising out of or in connection with these Terms that cannot be resolved through good-faith negotiation shall be submitted to binding arbitration in accordance with the **Arbitration and Conciliation Act (Cap A18 LFN 2004)** before a single arbitrator agreed upon by both parties, or appointed by the Court if no agreement is reached. The seat of arbitration shall be **Lagos, Nigeria**.
Nothing in this clause prevents either party from seeking urgent injunctive relief in a court of competent jurisdiction.

## 21. Termination
### 21.1 By You
You may close your account at any time by contacting **support@zimoziswift.com**. Closure does not affect obligations that accrued before the date of closure (e.g., outstanding payments, unfulfilled orders).
### 21.2 By Us
We may suspend or terminate your account at any time for breach of these Terms, fraudulent activity, or for any other reason at our discretion. We will endeavour to provide notice where feasible, but reserve the right to act without notice where immediate action is necessary to protect the Platform or other users.

## 22. Force Majeure
Zimozi Swift is not liable for any delay or failure to perform its obligations under these Terms where such failure is caused by circumstances beyond our reasonable control, including natural disasters, government action, strikes, internet outages, or disruptions to third-party services.

## 23. Severability
If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed, and the remaining provisions shall continue in full force and effect.

## 24. Entire Agreement
These Terms, together with the Privacy Policy and any other policies or notices published on the Platform, constitute the entire agreement between you and Zimozi Swift with respect to your use of the Platform and supersede all prior agreements, representations, or understandings.
